1. Introduction and Acceptance
1.1 These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and AlphaNet Limited, an exempted company incorporated in the Cayman Islands ("AlphaNet," "we," "us," or "our"). They govern your access to and use of the website alphanet.global, the AlphaNet applications, and all related software, interfaces and services (together, the "Platform").
1.2 By clicking "I Agree," connecting a wallet, signing a message with your wallet, granting Trading Permission (Section 5), or otherwise using the Platform, you confirm that you have read, understood and agree to these Terms. If you do not agree, do not use the Platform.
1.3 We may amend these Terms. We will post the updated Terms on the Platform with a new "Last updated" date. For material changes, we will also show a notice on the Platform, and may ask you to accept the updated Terms, including by signing a message with your wallet, before you continue using the Platform. Changes required by law or to address a security risk may take effect immediately. You are responsible for reviewing these Terms regularly. Your continued use of the Platform after a change takes effect, including letting deployed Strategies keep running, means you accept it. If you do not accept a change, you must stop your Strategies, revoke your Trading Permission and stop using the Platform.
2. Eligibility and Restricted Persons
2.1 Eligibility. You represent and warrant that you: (a) are at least eighteen (18) years old or the age of majority in your jurisdiction, whichever is higher; (b) have full legal capacity and authority to enter into these Terms; (c) are not a Restricted Person (Section 2.2); (d) are not named on, owned or controlled by anyone named on, or acting for anyone named on, any sanctions list maintained by the United Nations, the United States (including OFAC's Specially Designated Nationals list), the European Union, the United Kingdom or the Cayman Islands; (e) do not use a wallet linked to sanctioned or illicit activity; (f) will comply with all laws that apply to you; and (g) have enough knowledge and experience of perpetual futures, leveraged trading, digital assets and automated trading to evaluate the risks of using the Platform.
2.2 Restricted Persons. The Platform is not available to Restricted Persons. "Restricted Persons" means:
(a) persons or entities who reside in, are located in, are incorporated in, or have a registered office in the United States of America (including its territories and possessions), Ontario, Canada, or Mainland China;
(b) persons or entities who reside in, are located in, are incorporated in, or have a registered office in any jurisdiction subject to applicable economic and trade sanctions or export control laws and regulations, including without limitation Cuba, Iran, North Korea, Syria, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine, and any other jurisdiction or region designated from time to time (together, "Restricted Territories"); and
(c) citizens of Restricted Territories, regardless of where they are located.
2.3 Venue eligibility. You must also be eligible to use each Venue (Section 3.2) under that Venue's own terms. If a Venue restricts you, you may not use the Platform to trade on that Venue.
2.4 No circumvention. You will not use a VPN, proxy, or any other method to hide your location or residence, or to get around these restrictions.
2.5 Our rights. We may use geolocation, wallet screening and other checks, and may ask you for information to confirm your eligibility. If we believe you are a Restricted Person or have breached this Section, we may immediately suspend or terminate your access, revoke our use of your Trading Permission and stop all Strategies on your account, closing their positions (Section 5.6).
3. Description of Services
3.1 What AlphaNet provides. AlphaNet provides software that lets you: (a) browse and compare automated trading strategies developed by Strategy Providers ("Strategies"); (b) deploy Strategies so that AlphaNet's execution system places and manages orders on your own account on a supported Venue, under the Trading Permission you grant (Section 5); (c) use manual trading and trade-management tools; and (d) view analytics, performance data and related information (together, the "Services").
3.2 Venues. Orders are executed on independent third-party trading protocols, currently Hyperliquid and Orderly Network (each a "Venue"). Each Venue sets its own rules for margin, liquidation, funding, listing, fees and access. AlphaNet does not operate, control or guarantee any Venue.
3.3 What AlphaNet is not. AlphaNet is a technology provider. AlphaNet is not an exchange, trading venue, broker, dealer, clearing house, custodian, bank, investment adviser or fiduciary. AlphaNet does not run an order book, match or clear orders, settle trades, or hold your assets.
3.4 Your decisions. Choosing whether to deploy a Strategy, which Strategy, and how much to deploy is your decision alone. AlphaNet's execution of a Strategy you have chosen is an automated, rules-based technology service. It is not a personal recommendation or the exercise of investment discretion by AlphaNet on your behalf.
4. Strategies and Strategy Providers
4.1 Who develops Strategies. Strategies are developed and maintained by third parties that are legal entities separate from AlphaNet ("Strategy Providers"). AlphaNet may add or remove Strategy Providers at any time.
4.2 Relationships we disclose. Strategy Providers may have commercial, contractual or ownership relationships with AlphaNet or its shareholders, and may receive a share of AlphaNet's fees (Section 12.2). AlphaNet names, brands, lists, ranks, features and markets Strategies on the Platform. None of this is a recommendation that any Strategy suits you, or a guarantee of its results.
4.3 What AlphaNet does and does not do. AlphaNet integrates Strategies with its execution system and applies platform-level risk controls (Section 5.4). AlphaNet does not guarantee the design, soundness, accuracy or profitability of any Strategy, and is not responsible for a Strategy Provider's own acts or omissions.
4.4 Published information. Each Strategy may be shown with performance figures, a maximum drawdown and other statistics. You agree that:
(a) unless stated otherwise, performance figures may be shown before trading fees, funding payments and other costs, and may be calculated on an equal-weighted or capital-weighted basis;
(b) live results and simulated or backtested results are different; simulated results have limits that live trading does not;
(c) a published maximum drawdown is the largest historical peak-to-trough decline recorded for the Strategy over the stated period, based on live results, simulated results or both; it is not a limit, target or guarantee, and future drawdowns can be larger, for example during price gaps, liquidations, Venue outages or extreme volatility;
(d) past and simulated performance does not predict future results; and
(e) your own results will differ from a Strategy's published figures, because of when and how much you deploy, fees, slippage, funding, the deployment and auto-stop limits in Section 5.4 and other factors.
4.5 Changes to Strategies. Strategy Providers may modify, pause or retire a Strategy, and AlphaNet may delist one, at any time. We will try to give notice through the Platform where practical. If a Strategy you have deployed is paused, retired or delisted, AlphaNet will stop it and close all of its positions (Section 5.6).
4.6 Your due diligence. You are responsible for deciding whether a Strategy fits your finances, objectives and risk tolerance before deploying it.
5. Automated Trading Authorization
5.1 Grant. When you connect an account and deploy a Strategy, you authorize AlphaNet to place, modify and cancel orders, and to manage positions, on your account on the relevant Venue, using an agent wallet, API key or other delegated permission recognized by that Venue ("Trading Permission"). AlphaNet will use the Trading Permission only to: (a) run Strategies you have deployed; (b) run trade-management tools you have activated; (c) apply the platform risk controls in Section 5.4; and (d) close positions as required by these Terms.
5.2 Trade-only scope. The Trading Permission allows trading only. It does not allow AlphaNet to withdraw, transfer or bridge assets out of your account or wallet.
5.3 How Strategies trade. You choose the Strategy and the amount to deploy. The Strategy then decides the timing, direction and size of each trade within your deployment, without asking you to approve each trade. Trading frequency varies by Strategy and market conditions.
5.4 Deployment and auto-stop limits. AlphaNet uses two separate account ratios, shown on the Platform, with different purposes and calculations:
(a) Max exposure.Each Strategy has a maximum exposure ("Max exposure"), shown as a percentage of the amount allocated to that Strategy. It represents the highest possible combined position exposure the Strategy may hold at any point in time and may exceed 100%. Where a Strategy has separate long and short exposure limits, Max exposure is the larger of those limits, not their sum. A deployment's exposure commitment is its allocated amount multiplied by its Max exposure percentage.
(b) Net-position notional.For these ratios, positions are netted separately for each asset and separately for two groups: positions attributed to deployed Strategies, and manual positions. Within each asset and group, long and short position notionals offset each other; the absolute value of the resulting net notional is then added across assets. Strategy positions and manual positions do not offset each other, and positions in different assets do not offset each other. AlphaNet uses its records to attribute positions as described in Section 5.9. These calculations remain separate even if a Venue combines Strategy and manual trades into a single net position as described in Section 5.6.
(c) Deployment ratio.The current deployment limit is 3x:
Deployment ratio = (sum of each deployment's allocated amount × its Max exposure percentage + manual net-position notional) ÷ your account equity on the Venue
For example, a Max exposure of 120% weights a deployment's allocated amount by 1.2. You cannot deploy to a Strategy, or increase a deployment, if the resulting deployment ratio would exceed 3x. Existing deployments are counted by their exposure commitments whether or not they hold open positions; live Strategy positions are not added again to this ratio.
(d) Available allocation.The additional amount you may allocate depends on the Strategy you select and its Max exposure. It is calculated by subtracting existing deployment exposure commitments and manual net-position notional from three times your account equity, taking no less than zero, and dividing the remainder by the selected Strategy's Max exposure percentage. This is not a single account-wide allocation amount. Venue margin requirements and other applicable limits may reduce the amount you can actually deploy.
(e) Auto-stop ratio.The current Auto-Stop Level is 6x:
Auto-stop ratio = (Strategy net-position notional + manual net-position notional) ÷ your account equity on the Venue
This ratio uses actual live positions, not deployed allocations or exposure commitments. If it reaches or exceeds 6x, for example because losses or withdrawals reduce your equity or positions increase, AlphaNet will automatically stop all running Strategies on your account and close all of their positions (Section 5.6).
AlphaNet may change either limit at any time; lowering the Auto-Stop Level may cause your Strategies to stop under this Section. You are responsible for monitoring both ratios. AlphaNet will not close or change positions you opened manually, which remain your sole responsibility, even if they cause the Auto-Stop Level to be reached. Positions are closed at prevailing market prices, which may realize losses. Stopped Strategies do not restart automatically; you must redeploy them. These controls are automated, may be delayed or not work as intended, and do not guarantee you against loss or liquidation. AlphaNet is not liable for losses arising from closing positions under this Section, or from any delay or failure in doing so.
5.5 Interference with Strategies. If you or anyone else trades manually in an asset a Strategy is trading on the same account, or otherwise changes that Strategy's positions, AlphaNet may stop that Strategy immediately and close its positions (Section 5.6). A stopped Strategy stays stopped until you redeploy it. AlphaNet is not responsible for losses resulting from stopping the Strategy or closing its positions.
5.6 Stopping and revoking. You may stop any Strategy through the Platform, and you may revoke the Trading Permission at any time through the Platform or directly on the Venue. Whenever a Strategy is stopped, for any reason and whether by you or by AlphaNet, AlphaNet will close all of that Strategy's positions at prevailing market prices, which may realize losses. Revoking the Trading Permission directly on the Venue does not close any positions, because AlphaNet can no longer trade your account; any positions left open are yours to manage. Some Venues combine your manual trades and a Strategy's trades in the same asset into a single net position. In that case, closing the Strategy's positions means placing orders that reduce the net position by the size AlphaNet's records attribute to the Strategy. The remaining position reflects your manual trades, stays open, and is yours to manage. If your manual trades offset the Strategy's position, the remaining position may be in the opposite direction to the Strategy's.
5.7 Execution is not guaranteed. AlphaNet does not guarantee that any order, including an order to close positions under Section 5.6, will be placed, filled, or filled at a particular price or time. Outages, latency, errors, or Venue problems may cause missed, delayed, duplicated or partial orders, including risk-reducing and closing orders.
5.8 Security of the Trading Permission. AlphaNet uses security measures designed to protect the keys it uses to exercise Trading Permissions, but no system is fully secure. If those keys, or your own wallet, are compromised, unauthorized trades could cause losses even though funds cannot be withdrawn through the Trading Permission. If you suspect a problem, revoke the Trading Permission on the Venue immediately and tell us.
5.9 Records. The Venue's records and on-chain data are the authoritative record of your orders, trades and positions. AlphaNet's records determine which of those trades and positions are attributed to each Strategy.
5.10 Fee approvals. Where a Venue requires you to approve AlphaNet's fee, keeping that approval in place is a condition of running Strategies. If you revoke or reduce it, AlphaNet may stop your Strategies and close their positions (Section 5.6).
6. Non-Custodial Nature of the Platform
6.1 No custody. AlphaNet never takes custody or possession of your digital assets and cannot move them out of your account, other than fees collected through the Venue under Section 12.1. Its only access to your account is the trade-only Trading Permission in Section 5. Your assets stay in your own wallet or your own account on the Venue at all times. Moving funds to a Venue, sometimes shown on the Platform as a "deposit," is a transfer to your own Venue account, not to AlphaNet.
6.2 Your keys. You alone control your private keys, seed phrase and wallet credentials, and you are solely responsible for keeping them safe. AlphaNet will never ask for your private key or seed phrase. Anyone who does is not acting for AlphaNet.
6.3 No recovery or reversal. AlphaNet cannot access, freeze, recover or return your assets, reverse a transaction, or restore access to a wallet if you lose your keys. Blockchain transactions are final.
6.4 No deposit protection. Assets in your wallet or Venue account are not deposits with AlphaNet. They earn no interest from AlphaNet and are not covered by any deposit insurance, investor compensation or similar protection scheme.
6.5 Third-party wallets. If you use a wallet provided by a third party, including any embedded wallet offered through the Platform, that wallet is governed by the provider's terms. AlphaNet is not responsible for it.
6.6 Taxes. You are responsible for determining, reporting and paying any taxes arising from your trading and use of the Platform.
7. Risk Disclosures
Read this section carefully. You can lose all the assets you trade through the Platform.
7.1 Not investment advice. Strategies, tools, analytics, data and other materials on the Platform are technology tools you use at your own discretion. They are not investment advice, financial advice, asset management, brokerage or any other professional advisory service from AlphaNet.
7.2 Perpetual futures. Strategies trade perpetual futures ("perps"), which are leveraged derivatives with no expiry date. You understand that:
(a) Leverage magnifies both gains and losses. A small price move against a position can cause a large loss.
(b) Liquidation.If your account's margin falls below the Venue's maintenance requirement, the Venue may close some or all of your positions automatically, at unfavourable prices, and you may lose the margin backing them.
(c) Cross margin.Where positions share margin, losses on one position can use up the margin supporting others and cause liquidation across your whole account.
(d) Funding payments.Perps charge periodic funding between long and short holders. Funding can be large, can change quickly, and can reduce or wipe out a Strategy's returns.
(e) Mark and oracle prices.Liquidations and profit and loss are usually based on mark or oracle prices set by the Venue, which may differ from the last traded price and may be wrong.
(f) Auto-deleveraging.When a Venue cannot absorb losses from liquidated positions, it may force-close other traders' positions, including your profitable ones, without your consent.
(g) Gaps and limits.Prices can jump past stop levels without trading in between. Venues may impose position limits or open-interest caps, change margin requirements, or suspend or delist markets, any of which can prevent a Strategy from trading as designed.
7.3 Strategy and AI risk. Strategies rely on models that are probabilistic and can fail. Models may be overfitted to past data, stop working when market conditions change, or produce wrong outputs. A Strategy can lose money for long periods.
7.4 Venue and protocol risk. AlphaNet relies on Hyperliquid, Orderly Network and other third-party infrastructure that AlphaNet does not control or audit. Risks include:
- bugs, exploits or vulnerabilities in smart contracts or protocol code;
- oracle failure or price-feed manipulation;
- validator, consensus or network failures, chain halts or reorganizations;
- bridge failures, including assets becoming stuck on or between chains;
- governance decisions or upgrades that change how a Venue works;
- Venue outages, congestion or changes to access rules.
Your use of each Venue is also subject to that Venue's terms and risks.
7.5 Market risk. Digital asset markets are highly volatile. Liquidity can disappear in stressed markets, causing slippage, partial fills or inability to exit positions. Extreme events, including regulatory action, exchange failures, protocol exploits and macroeconomic or geopolitical shocks, can cause sudden, total losses.
7.6 Regulatory risk. The law on digital assets, derivatives, decentralized protocols and automated trading is uncertain and changing. New laws or enforcement may limit or end your access to the Platform or a Venue, or affect the value of your assets.
7.7 Force majeure. AlphaNet is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government action, internet or power failures, cyberattacks, blockchain congestion, or the failure of any Venue, node operator, validator or other third-party provider.
8. Assumption of Risk, Disclaimers and Limitation of Liability
8.1 Assumption of risk. YOU USE THE PLATFORM, DEPLOY STRATEGIES AND TRADE PERPETUAL FUTURES AT YOUR SOLE RISK. You confirm you can afford to lose all assets you trade through the Platform.
8.2 Release. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND SUBJECT TO SECTION 8.5, YOU RELEASE ALPHANET AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUCCESSORS AND ASSIGNS (THE "ALPHANET PARTIES") FROM ALL CLAIMS, LOSSES AND DAMAGES ARISING FROM:
(a) the performance, losses or failure of any Strategy;
(b) market movements, volatility, liquidation, auto-deleveraging, funding payments or extreme market events;
(c) the acts or omissions of any Strategy Provider or Venue;
(d) defects, errors, downtime or interruptions of the Platform, a Venue or any third-party infrastructure;
(e) security breaches, hacks or exploits affecting any Venue, protocol or smart contract;
(f) slippage, failed, delayed or partial execution;
(g) any event described in Section 7.7; and
(h) regulatory action affecting your access to the Platform or your assets.
8.3 No warranties. THE PLATFORM, SERVICES AND STRATEGIES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ALPHANET DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. ALPHANET DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, OR THAT ANY STRATEGY WILL BE PROFITABLE OR PERFORM AS DESCRIBED.
8.4 Limitation of liability. SUBJECT TO SECTION 8.5: (a) NO ALPHANET PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL OR DATA; (b) NO ALPHANET PARTY WILL BE LIABLE FOR LOSS OF DIGITAL ASSETS CAUSED BY THEFT, HACKING, PHISHING OR OTHER UNAUTHORIZED ACCESS TO YOUR WALLET, YOUR VENUE ACCOUNT OR ANY TRADING PERMISSION; AND (c) ALPHANET'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID TO ALPHANET, INCLUDING FEES COLLECTED THROUGH A VENUE, IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (US$100). EACH LIMITATION AND EXCLUSION IN THIS SECTION 8 IS SEPARATE AND INDEPENDENT. IF ANY OF THEM IS HELD UNENFORCEABLE FOR A CLAIM, THE OTHERS STILL APPLY TO THAT CLAIM, AND ALPHANET'S LIABILITY IS LIMITED TO THE FULLEST EXTENT THE LAW ALLOWS.
8.5 What we do not exclude. Nothing in these Terms excludes or limits AlphaNet's liability for fraud, wilful misconduct or gross negligence, or any other liability that cannot be excluded or limited under applicable law.
8.6 Survival. This Section survives termination of these Terms.
9. User Conduct
You agree not to:
(a) use the Platform for any illegal purpose or in breach of any law;
(b) engage in or facilitate market manipulation, including wash trading, spoofing, layering or front-running;
(c) access the Platform if you are a Restricted Person, or use a VPN, proxy or other method to hide your location (Section 2);
(d) breach the Strategy Data License (Section 10);
(e) reverse engineer, decompile or attempt to derive the logic, parameters or source code of any Strategy or of the Platform;
(f) interfere with, disrupt or compromise the Platform, its servers or its security features, or introduce malware;
(g) use bots, scrapers or other automated means to access the Platform without our written permission;
(h) open multiple accounts to evade limits, restrictions or enforcement;
(i) infringe the intellectual property of AlphaNet, a Strategy Provider or anyone else; or
(j) impersonate any person, or harass, abuse or harm others.
10. Strategy Data License
10.1 Strategy Data. "Strategy Data" means the trade signals, orders, fills, positions, timing, sizes, parameters and performance generated by any Strategy, however you see them: on the Platform, on a Venue, on-chain, through an API, or otherwise.
10.2 Limited license. AlphaNet grants you a limited, personal, non-exclusive, non-transferable, revocable license to view Strategy Data only to monitor your own deployments on the Platform. Strategy Data remains the property of AlphaNet and the relevant Strategy Provider.
10.3 No mirroring or resale. You will not, directly or through anyone else, manually or by automated means:
(a) copy, mirror or replicate any Strategy's trades in any account, sub-account, wallet or platform other than through a deployment on the Platform;
(b) sell, license, publish, broadcast or otherwise make Strategy Data, or signals derived from it, available to anyone, including copy-trading services, vaults, signal groups, chat channels or social media;
(c) use Strategy Data to reverse engineer a Strategy, train models, or build or improve a competing product or strategy; or
(d) monitor, scrape or aggregate Strategy Data, including on-chain data about accounts running Strategies, for any of the above purposes.
10.4 Public visibility does not grant rights. Some Strategy Data may be visible on public blockchains. That does not make it free to use for these purposes. Your rights in Strategy Data come only from these Terms, and you agree it is confidential and commercially valuable.
10.5 Remedies. If we reasonably believe you have breached this Section, we may, without notice: suspend or terminate your access; stop your Strategies; and cancel any unredeemed points, rewards or fee discounts. You agree to pay AlphaNet, as a genuine pre-estimate of its loss, an amount equal to the fees AlphaNet would have earned had the mirrored or resold trading been executed through the Platform. You agree that a breach may cause irreparable harm, and that AlphaNet may seek an injunction or other equitable relief in any competent court, in addition to any other remedy.
10.6 Monitoring. You agree that AlphaNet may analyse Platform and on-chain data to detect breaches of this Section.
10.7 Survival. This Section survives termination of these Terms.
11. Intellectual Property
The Platform, including its software, design, text, graphics, logos, data compilations and source code, belongs to AlphaNet or its licensors. Strategies and Strategy Data belong to AlphaNet, the relevant Strategy Provider, or both, as agreed between them. AlphaNet grants you a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose under these Terms. All other rights are reserved.
12. Fees, Rewards and Conflicts of Interest
12.1 Fees. (There is no AlphaNet fee during the promotional period.) AlphaNet charges a fee on each filled trade placed through the Platform, including every trade placed by a Strategy, calculated as a percentage of the trade's notional value. Current rates are shown on the Platform. The fee is collected through the Venue: on Hyperliquid, as a builder fee of no more than the maximum you approve by signing with your wallet, charged in addition to Hyperliquid's own trading fees; on Orderly Network, as part of the total trading fee rate AlphaNet sets for your account, which includes Orderly's base fee. Because the fee applies to every filled trade, the total you pay depends on how often your Strategies trade. Fees are non-refundable except where required by law. Funding payments, network fees and, except as described above for Orderly Network, Venue trading fees are separate, are set by third parties, and are not refundable by AlphaNet.
12.2 Conflicts of interest. You acknowledge that: (a) Strategy Providers may receive a share of the fees AlphaNet earns from their Strategies; (b) Strategy Providers may have commercial or ownership relationships with AlphaNet (Section 4.2); and (c) Strategy Providers and their affiliates or personnel may trade the same assets for their own accounts, including in the opposite direction.
12.3 Rewards. Any points, rewards or similar benefits have no cash value unless we expressly say otherwise, may be changed or cancelled at our discretion, and may be forfeited if you breach these Terms. Strategy deployment points are based on the amount allocated and eligible deployment time, not the Strategy's Max exposure or either account ratio. Manual positions do not earn Strategy deployment points.
13. Indemnification
You will defend, indemnify and hold harmless the AlphaNet Parties from all claims, losses, liabilities and expenses, including reasonable legal fees, arising from: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any law or third-party right; or (d) any claim that your use of the Platform harmed a third party.
14. Suspension and Termination
14.1 We may suspend, restrict or terminate your access to all or part of the Platform at any time, with or without notice, including if you breach these Terms, we suspect fraud or illegal activity, you appear to be a Restricted Person, or we need to protect the Platform or other users.
14.2 On termination, AlphaNet will stop all Strategies on your account, close all of their positions (Section 5.6), and then stop using your Trading Permission. Your assets remain in your own wallet and Venue account. Positions you opened manually are yours to manage, and you should also revoke the Trading Permission directly on the Venue.
14.3 Sections that by their nature should survive termination will survive, including Sections 6, 7, 8, 10, 11, 12, 13, 15 and 16.
15. Governing Law and Dispute Resolution
15.1 These Terms, and any dispute arising from or relating to them, are governed by the laws of the Cayman Islands.
15.2 Informal resolution first. Before starting arbitration, a party must give the other written notice of the dispute: you by email to [email protected], including your wallet address, a description of the dispute and the relief you seek; AlphaNet through the Platform or any contact details you have given. The parties will try in good faith to resolve the dispute for thirty (30) days after the notice. Arbitration may be started only after that period ends, and any limitation period is paused during it. This Section does not apply to requests for relief under Section 15.5.
15.3 Any dispute, controversy or claim arising from or relating to these Terms, including their formation, interpretation, breach, termination or validity, will be finally resolved by arbitration administered by Singapore International Arbitration Centre under its rules in force when the notice of arbitration is submitted. The seat of arbitration is Singapore. There will be one arbitrator, and the proceedings will be in English. The award is final and binding.
15.4 You and AlphaNet each waive any right to bring or take part in a class action, class-wide arbitration, representative action or consolidated proceeding.
15.5 AlphaNet may seek injunctive or other equitable relief in any competent court to protect its intellectual property, confidential information or Strategy Data.
15.6 Time limit. To the extent permitted by law, any claim arising from or relating to these Terms or the Platform must be brought within one (1) year after the facts giving rise to it occurred, or it is permanently barred.
16. General
16.1 Severability. If any provision is held invalid or unenforceable, it will be changed to the minimum extent needed to make it enforceable, or removed, and the rest of these Terms will remain in effect.
16.2 Entire agreement. These Terms, together with any other policies posted on the Platform, are the entire agreement between you and AlphaNet about their subject matter.
16.3 Assignment. You may not assign or transfer these Terms without our prior written consent. AlphaNet may assign or transfer them without restriction.
16.4 No waiver. Our failure to enforce any provision is not a waiver of it.
16.5 Language. If these Terms are translated, the English version prevails.
16.6 Notices. AlphaNet gives notices to you by posting them on the Platform, and a notice is effective when posted. You give notices to AlphaNet by email to [email protected].
17. Contact
Questions about these Terms, and any notice to AlphaNet, including a suspected compromise under Section 5.8, can be sent to [email protected].
